TERMS OF SERVICE

These General Terms of Service (hereinafter: "Terms of Service") together with the Voltic Privacy Policy govern your (hereinafter: "You" or "User") use of the eDrive mobile application as well as any other related services (hereinafter: "Service") provided by The Company Voltic d.o.o. Belgrade, Milentija Popovića 5v/34, 11070 Belgrade, Republic of Serbia, established in accordance with the regulations of the Republic of Serbia, registered with the Business Registers Agency under the registration number: 21765902, operating under the brand "eDrive" (hereinafter: "Volttic", "Nas" or "We").

1. BASIC PROVISIONS

By registering to use or using the Service or any part of the Service, you agree to be subject to these Terms of Service. In order to complete your registration, it is necessary that you expressly accept these Terms of Service. If you are a natural person, you are obliged to notify Voltaic if you have any objection to the Service within 2 (two) years, and if you are a company, you must submit a complaint regarding the Service within 6 (six) months, provided that in any case the deadlines in question are calculated from the date of provision of the relevant Service. Any notice of non-conformity of the Service is provided to Voltaire in writing, including by e-mail.

The service includes, but is not limited to the Voltic website, the eDrive mobile application (hereinafter referred to as the "Mobile App") and all related services and products provided by Voltic under its brand or through partners, including, but not limited to, the identification and navigation to electric vehicle charging stations, the initiation and payment of charging programs (including through the use of payment cards) and the provision of certain information in connection with charging program (e.g. price, availability, type of chargers available, invoice-related information).

Voltic reserves the right at its discretion to change, add and remove features of the Service at any time without prior notice to the User.

These Terms of Service are applicable in any country and/or region in which the Service is available, if they are not amended and/or amended in accordance with the domestic legislation of the country/region concerned, in which case such amendments/changes will apply, of which you will be adequately notified.

2. PRIVACY POLICY

Voltic processes your personal data in accordance with its Privacy Policy.

3. PRICES

All prices displayed in the Mobile Application also include VAT (Value Added Tax). When you use the Mobile App to start a charging session, the price will appear before the charging process begins.

The cost of using the Service to charge your electric vehicle is based on one or more different factors. These factors may include, but are not limited to, kilowatt-hours (kWh) that are used during charging, charging time, parking time, charging fees, charging program start fees, etc.

You acknowledge and agree that the final price is calculated based on how you use the Service and that it is not possible to calculate the final price before the charging process is completed in each individual situation.

4. PROFESSIONAL USE OF THE SERVICE

Certain parts of the Service may be restricted for exclusive use by business users, legal entities and/or natural persons who use the Service for their trade or business activities ("Business Orders"). Business orders may be charged in various and/or additional fees as individually agreed in writing with Voltic. For the avoidance of any doubt, these Terms of Service will apply to any use of the Service unless there is a separate written agreement with Voltaire.

5. INVOICING AND PAYMENT

You are responsible for ensuring that the registered payment card is valid, that it is not blocked, that there are enough funds on it and that you are authorized to use it. If the debit of a registered payment card is not possible, Voltic has the right to request payment from you by other means, such as sending a special invoice in writing for your use of the Service. If there is a delay in the payment of a special invoice to the entered form, Section 7 shall apply.

You are responsible for ensuring that the payment information is accurate and up-to-date on the User Account Volttic associated with the Service. Please note that the inability to pay will lead to the termination of the user account.

Your payments to Voltic are provided by one or more third parties – payment processors. Voltic assumes no responsibility for errors or interference in the payment process.

By accepting these Terms, Users natural persons agree that when providing services, they have their residence in the territory of the Republic of Serbia in order to issue a fiscal invoice for the services provided.

6. TERMS OF PAYMENT OF INVOICES

When you have completed your specific use of the Service, an invoice will be automatically created and sent to your e-mail address. Voltic will try to charge from a payment card registered within the mobile application. In the event that there is not enough funds on the registered payment card for such a transaction, you will not be able to use the Service until the complete settlement of the unpaid invoice, and Voltic will try to collect outstanding amounts from your payment card through the system within the Mobile Application, until complete settlement. Voltic will save and display billing information on the user account within the payment history. Since you will have all your payments and invoices visible within the Mobile Application, you can settle the amount due at any time.

7. LATE PAYMENT

If you do not pay the full amount of the invoice, Voltic reserves the right to disable your use of the Service by suspending your account and/or preventing you from registering a new account. If Voltic disables you from using the Service due to inability to pay, you will still be obliged to pay any outstanding invoices and/or fees related to your use of the Service.

Voltic will charge default interest on each outstanding amount in the amount of the highest default interest rate permitted by law and issue an invoice in writing. The invoice in writing will be sent to the postal address registered in the Mobile Application. If no postal address is registered in the Mobile Application, the invoice in writing will be sent to the postal address where you are registered, based on any publicly available database.

If the invoice is sent in writing and the payment is not received in full before or on the due date, Voltic may, but is not obliged, to provide you with a reminder.

If the reminder is sent at Voltic's discretion and/or the payment is not fully received before or on the due date, Voltic reserves the right to initiate due debt settlement proceedings, which will incur additional costs.

8. VOUCHERS

In accordance with the applicable regulations, Voltic may from time to time offer you a promotional code (hereinafter referred to as the "Voucher") that may be activated in the Mobile App. After activating the Voucher in the Mobile Application, the User can receive a discount, approval or similar offer (hereinafter: "Promotional Offer"). A voucher is a one-time offer and may be limited to one Voucher per User. You may not be able to combine a Voucher with any other offer(s). The voucher is non-transferable and cannot be sold or refunded. If you receive approval under the Promotional Offer, you are obliged to pay Voltaire for expenses incurred using the Service that exceed the approval, and if the approval value exceeds the price of the Service, the remaining value of the approval will be transferred to the next Service.

Voucher and Promotional Offer are valid only until the specified expiration date. Voltic reserves the right to modify and/or cancel the Voucher and/or Promotional Offer. The Voucher and/or Promotion may be unavailable for Business Orders and/or be limited to certain parts of the Service.

9. CHARGING STATIONS

It is the responsibility of the charging station operator to ensure that the charging stations are functioning properly. Voltic bears no responsibility for faults and defects at charging stations or any equipment (e.g. cables, converters or adapters) belonging to the charging station.

10. OBLIGATIONS OF THE USER

You are obliged at all times to:

• Discontinue the use of the service if your residence is no longer in the territory of the Republic of Serbia;

• Follow all instructions given to you at the charging station and ensure that the charging process is carried out correctly;

• Comply with all applicable parking regulations on or in the area around charging stations;

• Do not use the Service in bad faith in connection with any error or defect with the Service, charging station or vehicle being charged;

• Ensure that personal and payment information registered in the Mobile App is accurate and up-to-date;

• Treat with care and protect your password and account information in the Mobile App;

• Ensure that no unauthorized person(s) has access to your account and/or any Replenishment Card(s) without your permission; And

Ensure that all means (e.g. charging cable) used in connection with charging are correct and work as intended.

Voltic has the right to immediately terminate the ongoing billing and/or restrict access to parts or all of the Service if: (i) you fail to comply in any way with your obligations under these Terms of Service or any other agreement between you and Voltic, (ii) if you have provided incorrect information to mislead Voltaire and/or its partners, or (iii) if Voltic has reasonable grounds to believe that a third party has unauthorized access to an account relating to the Service. In the event of such termination , Voltic has the right to take the necessary action to protect Voltaiko and/or its partners from damages and you may be obliged to bear the costs or damages suffered by Voltic as a result.

11. GENERAL LIMITATION OF LIABILITY

The limitation of liability in this section implies that you may not hold Voltaire liable – nor otherwise receive monetary compensation from Voltaire – unless expressly stated otherwise. Please note that the limitation of liability in this article applies with the limitation of liability in other sections of these Terms of Service.

Any limitation of liability in this section or otherwise specified in these Terms of Service shall not be construed as to exclude or limit Voltic's liability in the event of death or personal injury resulting from premeditated or action or omission taken with gross negligence on the part of Voltico, his employee, legal representative or subcontractor Voltico.

Voltic is not responsible for any damage caused by the use of defective equipment, nor for any damage caused by a malfunction of the vehicle being charged.

Voltic shall not be liable for any indirect damage you may suffer unless, and only to the extent that such liability cannot be excluded by applicable regulations.

Voltic will not be held liable to compensate you for any damage caused by unauthorized use of the Service, unless it is determined that Voltic acted deliberately or grossly negligently.

Voltic shall not be held liable to compensate you for any damage sought by your use of the Service that is contrary to these Terms of Service, unless it is established that Voltic acted deliberately or grossly negligently.

Voltic shall not be liable for damages resulting from you or any third party being unable to use the Mobile Application, payment card or any other part of the Service.

Voltic will not be held liable to reimburse you for an amount exceeding EUR 1,000 (or equivalent to the amount of the currency used in your country of residence) unless it is determined that Voltic acted deliberately or grossly negligently.

12. FORCE MAJEURE

Voltic is not responsible for, without limitation, any changes to regulations, errors or delays in delivery, telephone and Internet networks, war and military actions, general mobilization, sabotage of charging stations, irregularities in the delivery of electricity, strike, boycott, riots, terrorist acts, epidemics, fires, explosions, traffic and natural disasters (such as earthquake, cyclone, storm, flood, fog), acts of competent authorities affecting the provision of the Service and all other events and circumstances recognized and declared by the competent authorities as cases of force majeure, or other similar circumstances beyond The Control of Voltic.

13. CANCELLATION POLICY

You have the right to delete your account without giving a reason. Deleting your account can be done by contacting customer support by phone or email. After requesting the deletion of your account, there is a possibility that you will not be able to access your account again, nor use your payment card. If you delete your account and create a new account, your payment history and any other information will not be transferred to your new account.

Deleting your account does not exclude any financial liability you may have to Voltic in connection with the Service.

14. DURATION OF THE CONTRACT AND TERMINATION

These Terms of Use are binding between Viagra and the User from the moment you first register or use any part of the Service and remain in effect until termination by you or Voltaire.

Both you and Voltic may terminate the Terms of Service at any time. If you terminate the Terms of Service, Voltic will block access and delete any account associated with the User in connection with the Service. Termination of the Terms of Service does not preclude any financial obligation you potentially have to Voltaire in connection with the Service.

15. FINAL CONTRACT AND CHANGES TO THE TERMS OF SERVICE

These Terms of Service constitute a final and complete agreement between you and Voltaire regarding its subject matter. These Terms of Use replace all prior terms of service and/or other contracts, written or oral, between you and Voltaire relating to the subject matter of the regulation.

Voltic reserves the right to amend these Terms of Service at any time. You will be notified by changes to the Terms of Use by e-mail and/or via the Mobile Application within a reasonable time prior to such changes.

You have the right to refuse the modification before it has been made and notify Voltitz of your disapproval. After rejecting changes, Voltic reserves the right to restrict or cancel use of the Service and delete your account in the mobile application. Refusing to modify the Terms of Service does not preclude any financial liability you have to Voltaire in connection with the Service.

Voltic will not archive earlier versions of the Terms of Service and the Terms relating to the Service.

16. APPLICABLE LAW AND JURISDICTION

These Terms of Service shall be interpreted in accordance with the regulations of the Republic of Serbia. The competent court in Belgrade, Republic of Serbia, has exclusive jurisdiction over all disputes arising out of the use of or in connection with the Service and/or these Terms of Service.

17. SEPARABILITY OF PROVISIONS

These Terms of Service do not limit your binding rights, which you cannot waive under the imperative regulations. If it is determined that any provision(s) within these Terms of Service is not in accordance with the applicable imperative regulations, this shall have no effect on the remaining provisions.
